    Linkage Assurance Shareholders Approve N30m Directors’ Pay, Ratify Three Board Appointments

    Shareholders of Linkage Assurance Plc have approved N30 million as remuneration for the company’s Non-Executive Directors for the 2026 financial year and ratified the appointment of three directors to its board.

    The approvals were among resolutions passed at the insurer’s Annual General Meeting held on August 12, 2026, at the MUSON Centre in Lagos.

    Shareholders ratified the appointment of Razack Olugbenga Falekulo as an Independent Non-Executive Director, alongside Anthony Kanayo Katchy and Suaye Inikio Banigo as Non-Executive Directors.

    The company said the appointments had previously been made by its Board of Directors and were presented to shareholders for ratification at the annual meeting.

    Shareholders also received and approved Linkage Assurance’s audited financial statements for the year ended December 31, 2025, together with the reports of the directors, external auditors and audit committee, as well as the company’s board appraisal report.

    At the meeting, shareholders authorised the directors to determine the remuneration of the company’s external auditors for the 2026 financial year.

    The remuneration paid to Linkage Assurance’s management, as disclosed in its 2025 annual report, was also presented to shareholders and formally noted.

    As part of the company’s governance arrangements, shareholders elected Shamusideen Balogun, Sunday Orji and Esther Osijo as their representatives on the Statutory Audit Committee.

    The board appointed Maxwell Ebibai and Pius Otia to represent directors on the same committee.

    Under the special business considered at the meeting, shareholders approved N30 million as the remuneration payable to the company’s Non-Executive Directors for the financial year ending December 31, 2026.

    The AGM also approved the appointment of the Society for Corporate Governance Nigeria as Linkage Assurance’s board evaluation consultant.

    The resolutions form part of the insurer’s governance and oversight framework for the new financial year following the conclusion and approval of its 2025 accounts.
