Zenith Bank Plc has notified the Nigerian Exchange Limited and the investing public that it has submitted its Audited Financial Statements for the year ended December 31, 2025 to the Central Bank of Nigeria for final regulatory approval.

The bank stated that there may be a delay in the release of the approved audited financial statements as it awaits the completion of outstanding regulatory processes.

It disclosed that it has formally communicated the development to both the Securities and Exchange Commission and NGX, and has obtained approval for an extension of time within which to publish the results.

According to the bank, the extension is required to enable it receive all necessary regulatory approvals before making the audited financial statements available to the market.

Zenith Bank expressed optimism that the full-year 2025 audited results will be submitted to NGX and released to the public on or before March 31, 2026, subject to receipt of approval from the Central Bank of Nigeria.

Under NGX listing rules, issuers are required to publish audited full-year financial statements within the stipulated regulatory timeframe. Where delays occur, companies must seek formal approval from the Exchange and notify the market accordingly. Zenith Bank’s disclosure aligns with these governance and compliance requirements.

For investors, the delay appears procedural rather than performance-driven, as Nigerian banks are required to secure CBN clearance prior to public release of audited accounts.

However, the timing of the release remains important given that audited results typically provide clarity on profitability, asset quality, capital adequacy and dividend outlook.

The notification was signed by the Company Secretary, Michael Osilama Otu. Market participants will monitor developments closely as the March 31, 2026 projected release timeline approaches.
