United Capital Plc has emerged as a significant shareholder in Nigerian Exchange Group Plc (NGX Group) after its stake reached 5 percent of the company’s issued share capital, according to a regulatory disclosure.

The disclosure was made by NGX Group in a market notification signed by Group Company Secretary, Izuchukwu Akpa, in accordance with Rule 17.13 of the Nigerian Exchange Rulebook (Issuers’ Rules), which requires listed companies to notify the market whenever a shareholder reaches or exceeds the 5 percent ownership threshold.

According to the filing, United Capital’s total shareholding stood at 5 percent of NGX Group’s issued share capital as of June 15, 2026.

“The company has been formally notified by United Capital Plc that its total shareholding in Nigerian Exchange Group Plc stands at 5% of the issued share capital of NGX Group as of 15 June 2026,” the statement said.

    Strategic Investment

The disclosure marks an important milestone for both companies, highlighting United Capital’s growing investment in Nigeria’s capital market infrastructure.

NGX Group operates Nigeria’s premier securities exchange and has continued to expand its business beyond traditional exchange operations through investments in technology, market data services and capital market innovation.

United Capital, one of Nigeria’s leading investment banking and financial services firms, has consistently expanded its investment portfolio while strengthening its presence across key segments of the financial services industry.

    Market Implications

Institutional investments of this scale are often viewed as a vote of confidence in a company’s long-term prospects. While the disclosure does not indicate United Capital’s strategic intentions regarding the investment, the development reinforces institutional interest in NGX Group as Nigeria’s capital market continues to evolve.

The announcement does not affect NGX Group’s day-to-day operations but provides investors with updated information on the company’s ownership structure in line with regulatory requirements.
